Terms of Service (draft)

Spiritual Direction UK (SDUK)

These Terms of Service (“Terms”) govern your use of the Spiritual Direction UK website at [spiritualdirection.co.uk] (the “Site”) and any services offered through it (the “Platform”). By using the Platform, you agree to these Terms.

If you do not agree, do not use the Platform.

1. Who we are

The Platform is operated by Embody Interactive Ltd (“we”, “us”, “our”), a company registered in England and Wales.

  • VAT: Prices are inclusive of VAT where applicable. Our VAT number is 350442724.

The Platform is called Spiritual Direction UK (SDUK).

2. How to contact us

Our primary contact route is the Contact Form, linked in the Site footer (the “Contact Form”).

For postal correspondence, you may write to our registered office address in section 1.

3. What the Platform is

The Platform helps you find and book sessions with independent spiritual directors (“Directors”).

Unless we explicitly say otherwise, we do not provide spiritual direction sessions. Sessions are provided by Directors as independent practitioners. When you book a Director session, you enter into an agreement for that session with the Director.

The Platform may also offer SDUK-run services such as matching conversations, webinars, talks, group sessions, classes, or other events (“SDUK Services”). SDUK Services are provided by us and may have additional terms shown at booking.

4. Eligibility

You must be 18 or over to use the Platform.

You agree to provide accurate information and not to impersonate others.

5. Important notice

Spiritual direction can involve personal, emotional, and spiritual topics. It is not a substitute for medical care, mental health treatment, or crisis support.

If you or someone else is at immediate risk, call 999 (UK). If you are in crisis, contact NHS 111, your GP, Samaritans (116 123 in the UK), or local emergency services.

6. Directors are independent

Directors listed on the Platform are responsible for their own practice and professional conduct, including boundaries, confidentiality practice, safeguarding practice within sessions, insurance, supervision, and record-keeping.

Directors may have their own ways of working. They should explain their boundaries and confidentiality limits directly with you.

We may remove or suspend a Director’s listing at any time, including for safety or compliance reasons.

7. Bookings and services
A. Director sessions

A booking is confirmed only when the Platform shows it as confirmed and you receive confirmation on screen and/or by email.

You are responsible for checking the date, time, time zone, and format.

B. Help Me Choose (SDUK Service)

Help Me Choose is a short conversation with us to help you clarify what you are looking for and suggest Directors who may be a good fit.

  • Duration: 30 minutes

  • Price: £20, or the price shown at booking

  • This is guidance, not a guarantee of fit, and not a clinical assessment.

8. Payments, VAT, and our role as agent

Payments are taken through our payment provider(s) (the “Payment Processor”), for example Wix Payments and/or Stripe, depending on configuration.

A. VAT and pricing

Prices are shown at the point of booking and are inclusive of VAT where applicable.

B. We collect payment as agent for Director sessions

For Director sessions, you authorise us to collect payment as the Director’s agent and to pass the Director’s share to them under our arrangements with them. We retain a platform fee for providing the Platform and handling booking administration.

For SDUK Services (including Help Me Choose), payment is for a service provided by us.

9. Cancellations, rescheduling, no-shows, refunds (48 hours)

Unless different rules are clearly shown at booking, the default rules below apply.

A. If you cancel or reschedule a Director session
  • More than 48 hours before the session start time: cancel for a full refund, or reschedule without charge.

  • Within 48 hours of the session start time: no refund.

  • No-shows: treated as a late cancellation, no refund.

B. If a Director cancels

If a Director cancels, you will be offered a reschedule or a full refund.

C. Help Me Choose (SDUK Service) cancellations
  • More than 48 hours before: full refund or reschedule.

  • Within 48 hours: no refund.
    If we cancel, you will be offered a reschedule or a refund.

D. Refund method

Refunds, where due, are issued to the original payment method. Payment processor fees may be non-refundable in some cases.

Nothing in these Terms affects your statutory rights as a consumer.

10. Cooling-off rights (UK consumers)

If you are a UK consumer booking services at a scheduled time, statutory cancellation rights may be limited once the service has been delivered, and may be affected where you request delivery within 14 days.

11. Confidentiality and boundaries

Confidentiality is primarily a matter between you and the Director.

Directors should explain the limits of confidentiality, including circumstances where confidentiality may need to be broken, for example serious risk of harm or safeguarding obligations.

We do not receive or store the content of sessions unless you choose to share it with us.

12. Safeguarding and safety concerns

If you have a safeguarding concern connected to a booking made through the Platform, contact us via the Contact Form.

If you believe someone is at immediate risk, contact emergency services first.

We may take steps, including contacting the Director, pausing bookings, or removing a listing. We cannot guarantee outcomes, but we will treat concerns seriously.

13. Complaints

You can raise complaints via the Contact Form.

We aim to acknowledge complaints within 3 working days and respond substantively within 10 working days, unless the matter is complex.

Complaints fall into two categories:

  • Platform complaints (payments, booking issues, site problems, SDUK Services).

  • Session conduct complaints (concerns about a Director’s conduct within sessions). Directors are responsible for their practice; we may facilitate next steps where appropriate, including pausing listings.

14. Acceptable use

You agree not to misuse the Platform, including harassment, abusive behaviour, discriminatory behaviour, unlawful use, attempts to access systems without permission, or scraping Director information.

We may suspend or terminate access where we believe you have breached these Terms or where necessary to protect users or Directors.

15. Intellectual property

The Platform’s content, branding, and design are owned by us or licensed to us.

Director biographies and images remain owned by the Director or their licensors. You may not reuse them outside normal personal browsing and booking.

16. Availability and changes

We aim to keep the Platform available, but we do not guarantee uninterrupted access. We may modify, suspend, or withdraw parts of the Platform at any time.

We may update these Terms from time to time. The “Last updated” date will change. Continued use of the Platform after an update means you accept the updated Terms.

17. Disclaimers

We do not guarantee:

  • that you will find a Director who is the right fit;

  • any particular outcome from spiritual direction;

  • that the Platform will meet all your requirements.

You use the Platform and spiritual direction at your own discretion.

18. Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under law.

Subject to that:

  • We are not liable for the content of sessions or the acts or omissions of Directors.

  • Our total liability to you for claims relating to the Platform will not exceed the fees you paid through the Platform in the 3 months before the event giving rise to the claim, except where the law requires otherwise.

  • We are not liable for indirect or consequential loss.

19. Termination

You may stop using the Platform at any time.

We may suspend or terminate your access if you breach these Terms or if necessary to protect the Platform, Directors, or other users.

Termination does not affect bookings already made, except where we must cancel for safety or compliance reasons. Refunds will be handled under section 9.

20. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes will be handled by the courts of England and Wales.
